Terms of Use

By accessing or using the Climapp.io application, www.climapp.net, or related services ("Services"), owned and operated by Climapp, Inc. d/b/a Climapp.io ("Company," "we," "us," or "our"), you agree to these Terms of Use ("Terms").
THESE TERMS CONTAIN IMPORTANT PROVISIONS REGARDING INTELLECTUAL PROPERTY, CONFIDENTIALITY, AI USAGE, AND LIMITATIONS OF LIABILITY. PLEASE READ CAREFULLY.
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
2. Use of Services
You agree to use the Services only for lawful purposes and in compliance with these Terms. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity occurring under your account
- Ensuring accuracy of information you provide
- Compliance with all applicable laws
3. User Data and Privacy
Your use of the Services is governed by our Privacy Policy. By using the Services, you consent to the collection, use, and processing of your information as described therein.
3a. Data Collection from Submissions
Climapp reserves the right to collect, store, and process data and files uploaded or submitted by users through its tools, including utility bills, energy usage data, property information, and contact details. Such data is used to provide the Service, generate reports, improve the platform, and for other purposes described in the Privacy Policy. Users who confirm they are authorized to submit this data and understand that Climapp may collect and store the information and files submitted through this tool acknowledge and accept this collection.
3b. Authorization to Submit Third-Party Data
Users who submit data on behalf of third parties (including homeowners or clients) represent and warrant that they have been granted the explicit right to do so and have obtained all necessary rights, consents, and authorizations required to submit such data on the third party's behalf.
3c. Liability for Unauthorized Submissions
Any unauthorized or unpermitted submission of a third party's data is the sole responsibility of the submitting user. Climapp disclaims all liability arising from a user's unauthorized submission of another person's data, and the submitting user agrees to indemnify and hold Climapp harmless from any claims, damages, or costs arising from such unauthorized submission.
4. Intellectual Property Ownership
The Services and all associated intellectual property are the exclusive property of the Company, including but not limited to:
- Software, source code, object code, and compiled code
- Algorithms, data models, analytics methodologies, and AI/ML systems
- User interface designs, workflows, and system architecture
- Databases, schemas, and technical documentation
- Trade secrets, proprietary processes, and know-how
- Trademarks, service marks, and branding
All rights not expressly granted are reserved. No ownership rights are transferred to you.
5. License Grant and Restrictions
You are granted a limited, non-exclusive, non-transferable, non-transferable, revocable license to use the Services solely for your internal business or personal use.
You may not:
- Modify, copy, or create derivative works of the Services
- Reverse engineer, decompile, or extract underlying logic or models
- Use the Services to build or support competing products
- Use automated systems to access the Services without authorization
- Share access credentials or resell access
This license terminates automatically upon violation or account termination.
6. Prohibited Activities
You may not:
- Reverse engineer or analyze the Services for competitive purposes
- Extract data, models, or insights for external reuse
- Benchmark or publish performance results without written permission
- Circumvent security or access controls
- Misrepresent AI outputs as professional advice
7. AI & Automated Processing
The Services utilize artificial intelligence, machine learning, and automated systems ("AI Systems") to analyze data and generate insights, recommendations, summaries, or visualizations.
By using the Services, you acknowledge and agree that:
- AI-generated outputs may be incomplete, inaccurate, or imperfect
- Outputs are provided for informational purposes only
- You are solely responsible for how you interpret or rely on outputs
- AI outputs do not constitute financial, legal, engineering, or professional advice
The Company may use anonymized and aggregated data to improve, train, and optimize its AI systems, provided such data cannot reasonably identify you.
The Company may use third-party AI service providers to support features of the Services. Such providers are contractually required to maintain appropriate confidentiality and security protections.
8. Confidentiality
You may gain access to confidential information including technical, operational, and business information. You agree to:
- Keep such information confidential
- Use it only as necessary to use the Services
- Protect it using reasonable safeguards
These obligations survive termination for five (5) years, or indefinitely for trade secrets.
9. Trade Secrets
The Services include proprietary trade secrets developed at significant expense. Unauthorized use or disclosure may cause irreparable harm and subject you to legal remedies under applicable law, including the Defend Trade Secrets Act.
10. Competitor Restrictions
If you are a competitor or intend to develop competing products, you may not access or use the Services. The Company reserves the right to terminate access at its discretion.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Enforcement & Remedies
We may seek injunctive relief, damages, and attorney's fees for violations of these Terms. We reserve audit rights to verify compliance.
14. Termination
We may terminate access at any time. Upon termination, your license ends and you must delete all Company materials.
15. Governing Law
These Terms are governed by the laws of the State of California. Venue shall lie in San Francisco County.
16. Changes
We may update these Terms at any time. Continued use constitutes acceptance.
